Building an AI Governance Framework That Finance Can Use
Governance has a finance-shaped hole
Search “AI governance framework” and you'll find dozens of guides. Nearly all of them focus on the same set of concerns: data loss prevention, prompt injection, model bias, regulatory compliance, acceptable use policies. These are real and important issues. But they share a common blind spot: none of them address money.
Finance teams are watching AI spend grow at 20–40% per quarter with no governance framework of their own. No spend limits by department. No approval workflows for new subscriptions. No chargeback or showback model. No standardized way to measure whether the investment is returning anything. The security team has a governance framework. The compliance team has a governance framework. Finance is flying blind.
Why security-only governance fails the enterprise
A governance framework that addresses only security and compliance creates a specific and predictable failure mode: it generates a list of “approved tools” without any mechanism to control how much the organization spends on them.
Consider what happens in practice. Security approves ChatGPT Enterprise. It goes on the approved list. Six months later, seventeen departments have licenses, several with overlapping use cases, at a combined annual run rate of $1.2M. Nobody in finance signed off on $1.2M. Nobody even saw the number until the quarterly true-up. The tool was “governed” from a security perspective but completely ungoverned from a financial one.
This pattern repeats across every approved AI tool. The complexity of AI pricing models makes it worse — a tool that looks like $30/seat/month can quietly accumulate thousands in overage charges from API usage that the seat license doesn't fully cover.
What financial AI governance actually requires
A governance framework that serves finance needs five components that most organizations haven't built yet:
Spend visibility by organizational unit.Not aggregate spend. Spend attributed to specific departments, cost centers, and projects. This sounds basic, but it requires mapping vendor billing data — which is organized by their account structures — to your organizational hierarchy. For API-based tools, it means tracking which API keys belong to which teams, which is rarely documented.
Budget allocation and limits.Each department or business unit needs a defined AI budget with guardrails. This doesn't mean rigid caps that kill experimentation. It means thresholds that trigger review — if marketing's AI spend exceeds $15K/month, someone looks at it before the next invoice, not three months later in a quarterly review.
Procurement controls.A process for approving new AI tools that includes both security review and financial review. Who can sign up for a new tool? What's the approval threshold? Is there a preferred vendor list that includes negotiated pricing? Most enterprises have this for SaaS generally but haven't extended it to cover AI-specific procurement patterns like API accounts and usage-based billing.
Chargeback or showback models.Departments need to see their own AI costs. Whether you do full chargeback (the department pays) or showback (the department sees the cost but it's paid centrally), the visibility changes behavior. Teams that don't see costs don't manage costs. This is the same lesson the industry learned with cloud infrastructure, and it applies identically to AI.
ROI measurement framework.A standardized way to evaluate whether AI investments are delivering value. This is the hardest component because “value” means different things for different use cases. But even a simple framework — categorizing each AI investment by expected outcome (productivity gain, revenue impact, cost reduction) and tracking leading indicators — is infinitely better than nothing.
Building both tracks in parallel
The mistake organizations make is treating security governance and financial governance as sequential — “we'll get security right first, then worry about costs.” By the time the security framework is mature, you've accumulated 18 months of ungoverned spend. The two tracks need to run in parallel.
In practice, this means the AI governance committee — or whatever your organization calls the group making these decisions — needs both a security/compliance representative and a finance representative with equal authority. Every tool approval decision should answer two questions simultaneously: “Is this safe to use?” and “How will we track and control the cost?”
The approval process for a new AI tool should include: security review (data handling, compliance, risk), financial review (pricing model, estimated spend, budget allocation, overlap with existing tools), and an ongoing monitoring plan for both dimensions. A unified platform that can track both security posture and spend data makes this dramatically easier than trying to stitch together separate tools.
The chargeback question
Organizations that have mature cloud chargeback models have a head start, but AI chargeback has unique challenges. Cloud costs are tied to resources (instances, storage, bandwidth) that can be tagged and attributed programmatically. AI costs are tied to users (seats) and usage patterns (tokens, API calls) that require different attribution mechanisms.
For seat-based tools, chargeback is straightforward: count the seats per department, multiply by cost per seat. For API-based tools, it's harder. You need to map API keys or usage patterns to organizational units. For embedded AI features — like AI capabilities within your CRM or marketing automation platform — you need a methodology for allocating the AI-attributable portion of the cost.
Start simple. Chargeback seat costs by headcount. Allocate API costs by the team that owns the API key. Flag embedded AI costs as a separate line item even if you can't perfectly allocate them yet. Imperfect attribution that exists is better than perfect attribution that doesn't.
Making it real
If your organization has an AI governance effort underway that doesn't include finance, the single most impactful thing you can do is get a finance representative on the governance committee this quarter. Not next year. This quarter. Every month without financial governance is a month of spend accumulating without oversight.
The second step is establishing a baseline. What is the organization spending on AI today, by department, by tool, by billing model? You cannot govern what you cannot measure. That baseline becomes the foundation for budget allocation, chargeback models, and ROI measurement — all the components of financial governance that turn AI from an uncontrolled expense into a managed investment.
